Please read these Terms carefully before using Zopop. They explain the rules for using our lead recovery and SMS booking automation service, including your responsibilities around messaging consent.
1. Agreement to Terms
These Terms of Service ("Terms") govern your access to and use of Zopop's websites, applications, and services (collectively, the "Service"). By creating an account or using the Service, you agree to be bound by these Terms. If you do not agree, do not use the Service.
2. The Service
Zopop provides lead recovery and booking automation for service businesses. The Service responds to missed calls and inbound inquiries by text message, qualifies prospects through automated conversations, and books appointments to your connected calendar and CRM. We may add, change, or remove features at any time.
3. Eligibility & Accounts
You must be at least 18 years old and able to form a binding contract to use the Service. You are responsible for the activity that occurs under your account and for keeping your credentials secure. Notify us promptly of any unauthorized use.
4. Customer Responsibilities & Consent
You are solely responsible for ensuring you have a lawful basis and the necessary prior express consent to contact every individual you message through the Service, in compliance with the Telephone Consumer Protection Act (TCPA), CAN-SPAM, CTIA guidelines, and all applicable laws.
- Only message contacts who have opted in to receive communications from your business.
- Honor opt-out requests immediately and maintain accurate consent records.
- Do not use the Service to send prohibited content (defined below).
5. SMS / Messaging Terms
The Service sends and receives SMS/MMS messages on your behalf through third-party carriers and messaging providers. By using the Service and by texting our numbers, the following apply:
- Message types. Recipients may receive missed-call follow-ups, appointment confirmations, reminders, and customer-care messages related to your business.
- Frequency. Message frequency varies based on your interactions and call volume.
- Rates.Message and data rates may apply. Zopop and your business are not responsible for charges from a recipient's mobile carrier.
- Opt-out. Recipients can reply STOP to any message to unsubscribe at any time, and START to opt back in.
- Help. Recipients can reply HELP for assistance or contact the business directly.
- Delivery. Carriers are not liable for delayed or undelivered messages. Delivery is not guaranteed.

6. Acceptable Use
You agree not to use the Service to:
- Send messages without valid consent or in violation of any law or carrier rule.
- Transmit content that is unlawful, harassing, deceptive, or that involves SHAFT categories (sex, hate, alcohol, firearms, tobacco) where prohibited.
- Send spam, phishing, malware, or high-risk financial or prohibited-substance content.
- Interfere with, disrupt, reverse engineer, or attempt to gain unauthorized access to the Service.
We may suspend or terminate accounts that violate this section.
7. Fees & Billing
Paid plans are billed in advance on a recurring basis and are non-refundable except where required by law. You authorize us to charge your payment method for all fees. We may change pricing with notice applicable to your next billing cycle. Failure to pay may result in suspension of the Service.
8. Third-Party Services & Integrations
The Service integrates with third-party tools (for example, telephony, calendar, and CRM providers). Your use of those services is governed by their own terms and privacy policies. We are not responsible for third-party services and do not control their availability or content.
9. Intellectual Property
The Service, including its software, design, and trademarks, is owned by Zopop and protected by intellectual-property laws. We grant you a limited, non-exclusive, non-transferable license to use the Service in accordance with these Terms. You retain ownership of the content and data you provide.
10. Disclaimers
The Service is provided "as is" and "as available" without warranties of any kind, whether express or implied, including merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the Service will be uninterrupted, error-free, or that messages will always be delivered.
11. Limitation of Liability
To the maximum extent permitted by law, Zopop will not be liable for any indirect, incidental, special, consequential, or punitive damages, or for lost profits or revenues. Our total liability for any claim arising out of or relating to the Service will not exceed the amount you paid us in the twelve (12) months preceding the claim.
12. Indemnification
You agree to indemnify and hold harmless Zopop and its affiliates from any claims, damages, and expenses (including reasonable attorneys' fees) arising from your use of the Service, your content, or your violation of these Terms or applicable law, including messaging-consent laws.
13. Termination
You may stop using the Service at any time. We may suspend or terminate your access if you breach these Terms or to comply with law. Upon termination, your right to use the Service ends; sections that by their nature should survive will survive.
14. Changes to These Terms
We may update these Terms from time to time. If we make material changes, we will provide notice (for example, by email or in-app). Continued use of the Service after changes take effect constitutes acceptance of the revised Terms.
15. Governing Law
These Terms are governed by the laws of the State of Texas, without regard to its conflict-of-laws rules. Any disputes will be resolved in the state or federal courts located in Texas, unless otherwise required by applicable law.
